Pay More, Get More: Hiring A Lawyer Makes Sense


When you read the ads for incorporating for less than $200, you might be wondering how to evaluate what you need versus what people are selling.  This article is to inform the consumer about all your incorporation options.

First, you may realize that most the "incorporators" are not lawyers at all.  Most are selling paperwork that some lawyer generated once upon a time, but they are not providing legal advice.  How do I know?  Because it's illegal in every state to provide legal advice without a law license.  Look & you will see they're disclaiming their work as legal advice. 

Why care if the incorporation is done right?
To be clear, the paperwork doesn't have to be perfect to be legally effective:  that's all pretty streamlined these days.  However, in rare instances, a wrong word or sentence here or there, can make a huge difference.  More common, is that the non-lawyers approach the structuring of entity in a one-size-fits all approach.  This is especially problematic when more than one owner exists.   Even for one-person owned companies, it's not ideal.

You don't want to be handed a stack of paperwork that you don't understand. Why?  Because  you will need to operate your company within certain formalities structured by that paperwork.  If you fail to do so, you risk the loss of the benefits of incorporating.    Incorporation is like insurance;  nobody needs it -- until they need it.

Why hire a lawyer for your incorporation?  Because attorneys actually add value, we're just not good at explaining that value usually. 

What you get with an attorney:

  • Assurance.  With an attorney you can rest assured that the information, paperwork and advice you're getting are provided by someone who actually knows the law.  People without a law license simply don't know what they don't know.  It's not uncommon for non-lawyers to provide misleading information or fail to warn you in potentially dicey situations.
     
  • Recourse.  Virtually all (if not all) non-attorney incorporators will make a disclaimer that they're not providing legal advice.  What does this really mean, since they're allegedly providing all the same documents and filings as a lawyer?  What they really mean is, "don't come after me if it's wrong."  Some will even go so far as to recommend you review your incorporation with a licensed attorney; of course, only in the fine print.  By contrast, you can sue an attorney for malpractice if they do something wrong.  And, you can also complain to the lawyer's board that governs the lawyer's license.  This alone provides strong incentive for 99% of the attorneys to get things right for you.  It's downright terrifying to most lawyers to be hauled down to the Lawyer's Board of Professional Responsibility and made to answer for their conduct in front of their peers.  
     
  • Relationship Building.  If you read anything on starting a business, you'll find universal agreement that you build relationships with a team of advisors early on in your business ( i.e. lawyer, banker, accountant & consultants). Most lawyers will be an invaluable resource to their clients throughout the lifetime of their businesses.  The more they know you & what you're up to, the more likely they'll make time when you call.  By contrast, if you have no relationship with a lawyer & wait until you're in a pinch to find one, you've just guaranteed yourself a great deal more stress in an already stressful ordeal.
